This Agreement contains the entire agreement between you and Linkive regarding the use of the Web site and/or the Service. The failure of Linkive to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. The section titles in this Agreement are for convenience only and have no legal or contractual effect. This Agreement, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Linkive without restriction.

12. ENTIRE AGREEMENT:

These Terms of Service constitute the entire agreement between the parties with respect to the subject matter hereof and supersedes and replaces all prior or contemporaneous understandings or agreements, written or oral, regarding such subject matter. The Agreement shall be governed by the Laws of India. The Courts of law at Chennai, TamilNadu, India shall have exclusive jurisdiction over any disputes arising under this agreement
